1.1 Holdsport.dk (hereinafter referred to as "Holdsport") is an online tool for the coordination of all types of team sports and other activities used by one or more sports teams in sports clubs (hereinafter referred to as "the Club").
1.2 In collaboration with hummel, Holdsport offers the sale of sports clothing and hummel merchandise to sports clubs and individuals. Products from other manufacturers may also form part of the range. This takes place via Holdsport's webshop called "Klubshoppen". Clubs as well as Private Individuals with a Holdsport profile (hereinafter jointly referred to as "the Buyer", or separately: "the Club" and "the Private Individual") may use the webshop.
1.3 These terms supplement the general business conditions that apply in the relationship between Holdsport and the individual Club that uses Holdsport's platforms or tools. The relationship between the Club and the individual Private Individual / team member is not governed by these terms and is of no concern to Holdsport.
1.4 The sale of access to team participation and services between Holdsport and the Club, and between the Club and a team member, is governed by the general business conditions that the Club accepts when using Holdsport's services.
1.5 Holdsport reserves the right regarding typographical errors, price changes and sold-out items in Klubshoppen.
1.6 Holdsport is operated by:
Holdsport.dk ApS2.1 When an order is placed, it is binding on the Buyer. Upon Holdsport's written confirmation of the order, a binding agreement has been entered into concerning the sale and delivery of the products. The order is confirmed subject to the availability of goods at the manufacturer.
2.2 If Holdsport, notwithstanding the provisions of section 2.1, separately approves a change or cancellation, the Buyer is obliged to pay the costs associated therewith. In the event of cancellation of the entire order, the Buyer is additionally obliged to compensate Holdsport for the lost profit. The foregoing does not, however, apply to purchases by Private Individuals to the extent that a purchase is covered by the right of withdrawal under the Danish Consumer Contracts Act (forbrugeraftaleloven).
2.3 If unforeseen problems arise after the order confirmation, Holdsport is entitled to cancel the order without liability of any kind. The Club's cancellation of the confirmed order can only take place with prior written consent from Holdsport and applies to all order types.
3.1 The time of delivery is stated in the order confirmation. Dispatch will normally take place within 3-4 business days after the order has been confirmed.
3.2 For the purchase of goods that require printing, e.g. player numbers etc., delivery time will normally be 9-14 business days. During periods with holidays and public holidays, longer delivery times must be expected.
3.3 The Buyer pays for shipping, which takes place with standard freight companies, in accordance with applicable rates for the chosen shipping method (e.g. standard shipping, express shipping etc.). However, orders exceeding DKK 500 for private individuals, and exceeding DKK 2,000 for clubs, are shipped free of charge (standard shipping) within Denmark. For delivery in Germany, the same thresholds are EUR 100 and EUR 250 respectively.
3.4 Liability during transport is governed by the carrier's rules and is of no concern to Holdsport. The Buyer is advised, where relevant, to take out supplementary insurance for the purchase of goods via the carrier.
4.1 All prices are stated including VAT and other duties unless otherwise stated. Prices are subject to changes in customs duties, other duties and currency fluctuations, and may be increased until delivery takes place.
4.2 Costs of shipping and any handling fees and the like shall be added to the stated prices.
4.3 Payment can be made using one of the following payment methods:
4.4 The amount is not debited from the payment card until the goods have been dispatched. No amount greater than the amount approved by the buyer at the time of purchase may ever be debited.
4.5 When the buyer approves a purchase and uses a payment card as the payment method, Holdsport may reserve the amount on the chosen payment card.
4.6 The maximum duration of a reservation depends on the card type, which the buyer can obtain information about from the card issuer, e.g. the buyer's bank. Because a reservation has a maximum duration, the reservation may expire. If the goods have not been dispatched before the expiry of a reservation, Holdsport may make a new reservation, and the original reservation will be released by the card issuer. If the buyer experiences that a reservation has not been released, the buyer must contact the card issuer, as only the card issuer can release the reservation.
5.1 For transactions between Private Individuals and Holdsport, the Danish Consumer Contracts Act (forbrugeraftaleloven) applies, including the withdrawal periods contained therein.
5.2 Goods purchased in Klubshoppen cannot be exchanged beyond what follows from the Danish Consumer Contracts Act, and only in accordance with the deadlines and terms that follow from the Act.
5.3 If Holdsport takes goods back, the goods must always be in the original packaging and must not have been used. The Buyer pays all costs associated with the return of the goods.
5.4 If goods are returned, the Buyer must follow the instructions enclosed with the delivery of the goods. It is important that the Buyer follows these instructions carefully, as otherwise a return may result in increased costs or other problems, e.g. damage during transport. The Buyer is liable to Holdsport for any costs and any losses arising from a failure to follow the instructions.
5.5 To the extent that an item has been made to the specification of the Club or the team member / Private Individual (custom-made goods), e.g. with print applied such as name, number etc., the item cannot be exchanged or returned, since the item cannot be returned in its original condition. This applies to all purchases, regardless of whether the buyer is a Club or a Private Individual.
6.1 Holdsport does not provide an independent warranty on the delivered goods.
6.2 The Buyer accepts that claims under a manufacturer's warranty for goods may only be raised directly against the manufacturer. Holdsport will assist the Buyer with facilitating contact in such cases.
6.3 It is expected that the enclosed user instructions, washing instructions and other instructions providing guidance on the correct use and maintenance of the product are followed and observed. If a goods item is treated in breach of the instructions, this will be regarded as incorrect use, and the goods will therefore not be covered by the statutory right to file complaints for defects.
6.4 The Buyer must, immediately upon receipt of the goods, and always before the goods are taken into use, inspect the delivered goods to ensure that they are free from defects.
6.5 Complaints about defects which the Buyer has discovered or ought to have discovered upon the above inspection must be submitted to Holdsport in writing immediately and no later than 10 days after receipt of the goods. For other defects, including hidden defects, the Buyer must file a complaint immediately after the Buyer or the team member receiving the goods ought to have discovered the defect, and no later than three months after delivery.
6.6 Upon timely complaint about defects, Holdsport will attempt to remedy the defect, e.g. by way of replacement delivery.
6.7 The manufacturer is fundamentally responsible for the products, and Holdsport is only liable under the Danish Product Liability Act to the extent that the Act imposes a mandatory liability on Holdsport. Holdsport shall never be liable for operating losses, loss of profit or other indirect losses incurred by the Buyer.
6.8 When the Buyer receives the goods, the Buyer must inspect them for any visible damage. If the packaging is damaged or shows other visible signs of defect, the freight note must be signed subject to any damage to the contents. All transport damage must be reported within 2 business days, but please note that Holdsport is not liable for damage arising during transport. Holdsport offers to assist with expedited processing of new orders placed by the Buyer for the purpose of receiving replacement products. This takes place against payment upon the Buyer's placement of a new order.
7.1 In connection with the fulfilment of the Buyer's order, personal data will often be processed as part of the performance of the agreement. In some cases, the personal data of the Private Individual / team member will be disclosed to other independent data controllers, such as freight companies, printing companies etc., in order for the supplier concerned and Holdsport to fulfil the agreement.
7.2 To the extent that Holdsport processes personal data on behalf of the Club, including by way of collection, Holdsport acts in relation to such data solely upon the instruction of the Club. The Club warrants that it has permission to collect and forward such data to Holdsport, and shall indemnify Holdsport in every respect in connection therewith.
7.3 If the purchase agreement is entered into with a Private Individual, that person accepts the present data processing, as well as Holdsport's general terms, including the processing of personal data as a consequence of that person having a Holdsport profile. Holdsport's general privacy policy thus applies to all matters between Holdsport and the individual user / Club, including when they use Klubshoppen.
7.4 Holdsport has taken technical and organisational security measures to prevent such data from being accidentally or unlawfully destroyed, lost or damaged, and to prevent such data from being disclosed to unauthorised parties, misused, or otherwise processed in breach of the law on the processing of personal data.
7.5 Holdsport is entitled to have a third party process data for which the Club is the data controller, provided that terms corresponding to those in section 7.1 apply between the Club and such third party. At the Club's request, the Club shall be informed of such agreements.
7.6 Holdsport shall, at the Buyer's request, provide the Buyer with sufficient information to enable the Buyer to verify that the aforementioned technical and organisational security measures have been taken. The Buyer shall bear its own costs and all of Holdsport's costs in such connection.
7.7 In order to ensure fast and precise communication and support for you as a user, Holdsport may use automated tools, including OpenAI's ChatGPT and related tools, to analyse and answer inquiries from you and other users. We use the dialogue with all users as a basis for developing these tools. The dialogue with you is anonymised. As a user, you consent to this use.
7.8 Holdsport's personal data policy otherwise applies to the agreement. This can be found at any time on Holdsport's website.
8.1 Any dispute between Holdsport and the Buyer shall, as far as possible, be sought settled amicably.
8.2 If a dispute between Holdsport and the Club cannot be settled amicably, such matter shall be decided under Danish law by the District Court of Aarhus (Retten i Aarhus).
